Client Terms and Conditions 

These terms and conditions apply to the Agreement between us pursuant to which White Glove Services International (WGS Corporation Pty Ltd) (“WGS”, “we”, “us”, “our”) agrees to provide services, assistance, information and recommendations to you (“Client”, “you”) either directly or by introducing you to a third-party supplier. By registering for WGS’s services on our website www.whitegloveservicesinternational.com or instructing us to provide services, you agree to be bound by these terms and conditions.

Services & Roles

Referral/Introduction Services. WGS facilitates introductions to candidates for private staff placements (“Candidates”). WGS is not the employer of any Candidate and is not a party to any employment contract between you and a Candidate.

Concierge/Facilitation. WGS facilitates introductions to third-party suppliers. For travel, dining, wellness, art, yacht, jet and similar requests, WGS acts as a booking facilitator/agent. Your contractual relationship for the supply of those goods/services is with the relevant supplier and subject to the supplier’s terms and conditions.

WGS undertakes to:
(a) take reasonable care in the selection of Candidates;
(b) take reasonable care and conduct reasonable checks to ensure Candidates are properly qualified to perform the tasks allocated to them; and
(c) take up references in relation to each Candidate prior to introduction/engagement.

Client Obligations

  1. All bookings for a candidate we have introduced must be made via WGS. You must not engage a candidate we have introduced directly for a period of 12 months from the date of introduction without paying the applicable WGS placement fee.

  2. You agree to pay each Candidate referred to you directly at the end of each day, week or month, as applicable, unless otherwise agreed.

  3. You must provide an occupationally safe environment and comply with all applicable work health and safety laws.

  4. WGS may refrain from referring further Candidates where feedback regarding the Client is sufficiently negative or concerning.

  5. You agree to pay petrol and parking fees if your Candidate uses a car for work purposes within work times.

  6. You agree to notify WGS immediately if a Candidate has been introduced via a third party, including another agency, website or advertisement.

  7. Once you offer employment to a Candidate, a placement fee will apply as agreed.

  8. The Candidate must be employed either directly by you or through WGS payroll or an external payroll service.

  9. You are responsible for:

    • complying with statutory obligations for employing a Candidate;

    • income tax payments (if applicable);

    • workers’ compensation (if applicable);

    • superannuation contributions (if applicable);

    • for international placements: return airfares to the Candidate’s home or agreed country upon completion of assignment, private living quarters, health insurance, and ensuring visa/work rights;

    • Candidates’ personal medical expenses (including those related to Covid-19).

 

Fees and Trial Period

  1. Fees for bookings:

    • are payable in Australian Dollars or GBP as quoted;

    • 25% of the referral fee is sue if we have recruited for a period of 14 days. this is to cover recruitment time

    • are payable in full within 7 days from the date a job offer is made, unless a payment plan is agreed in writing;

    • may be paid via online credit card, PayPal or direct transfer;

    • if an undisputed invoice remains unpaid 30 days after the due date, WGS may suspend services and you will be liable for WGS’s reasonable recovery costs.

  2. WGS will send invoices by email with payment due within 7 days.

  3. Temporary placements up to 6 weeks will attract a one-off fee.

  4. Agency or referral fees will be quoted on a case-by-case basis.

  5. Placements over 6 weeks will be treated as long-term (typically based on a 12-month contract).

  6. A free replacement is available within the first 14 days from the Candidate’s start date.

  7. WGS may offer payment plans case by case.

Cancellation Policy

  1. If a client cancels after offering and accepting a placement offer, a cancellation fee of 50% will apply to reflect reasonable direct costs actually incurred.

  2. WGS may immediately cancel any agreed services if a Candidate has been mistreated or is working in an unsafe environment.

  3. WGS reserves the right to refuse re-supply or replacement where your requirements do not comply with Australian laws.

 

Refunds and Guarantees

  1. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (ACL).

  2. If our services fail to meet the consumer guarantees, you are entitled to a remedy.

  3. Any voluntary replacement offered is additional to, and does not limit, your statutory rights under the ACL.

 

Third-Party Suppliers

  1. Suppliers are responsible for providing the services or products requested.

  2. Suppliers may impose their own terms and conditions which will apply to their supply to you.

  3. For services where we act as agent, your on-the-ground contract may be with the Supplier.

  4. You authorise WGS to place bookings with Suppliers and provide your necessary information to those Suppliers.

  5. Prices and availability are set by Suppliers and may change.

  6. WGS is not responsible for supplier acts or omissions.

 

Privacy

  1. Your details are subject to WGS’s privacy policy at www.whitegloveservicesinternational.com/privacypolicy.

  2. WGS will take reasonable steps to protect personal data and will not intentionally disclose contact information of clients or staff in public or group communications.

Data and Confidentiality

Termination

Either party may terminate access to services for convenience by providing the other with 30 days’ notice.

 

Limitation of Liability

  1. Nothing in these terms limits or excludes WGS’s liability for:

    • death or personal injury caused by negligence;

    • fraud or fraudulent misrepresentation;

    • breach of non-excludable statutory guarantees under the ACL.

  2. To the extent permitted by law:

    • WGS will not be liable for indirect or consequential losses;

    • WGS’s total liability in any 12-month period is limited to the total fees paid by you to WGS in that period.

  3. WGS is not liable for delays or failures due to causes beyond its reasonable control (force majeure).

  4. You agree to indemnify WGS against any claim or loss arising from third-party acts or omissions, except to the extent caused by WGS’s negligence.

 

Dispute Resolution

  1. The parties will use best efforts to resolve disputes through good faith negotiations.

  2. Any dispute that cannot be settled by negotiation will be referred to mediation.

 

Insurance

WGS maintains professional indemnity insurance appropriate to its role as an introduction and concierge agency. You are responsible for ensuring that staff and services have adequate house, car, travel, or public liability insurance.

 

General

  • Interpretation: Headings are for reference only; singular includes plural; general words are not limited by examples.

  • Notifications: WGS may provide notifications by email.

  • Assignment: You may not assign or sub-contract rights without written consent.

  • No Waiver: Failure to act does not constitute a waiver.

  • Severability: Invalid provisions may be severed.

  • Variation: WGS may vary these terms with at least 30 days’ notice for material changes.

  • Governing Law: These terms are governed by the laws of New South Wales, Australia.
